Welcome to LeadAster!

These Terms of Service (“Terms”) govern your access to and use of the LeadAster platform, website, applications, and related services (collectively, the “Service”), available at https://leadaster.com.

LeadAster provides a web-based software platform that enables businesses to connect, manage, and communicate with their own customers through their own WhatsApp Business accounts and other supported messaging channels, subject to applicable third-party terms and laws.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of the Terms, you may not access or use the Service.

Definitions

“Company”, “We”, “Us”, or “Our” refers to Lead Aster.
“User”, “You”, or “Your” refers to any individual or entity accessing or using the Service.
“End User” refers to Your customers with whom You communicate using WhatsApp or other messaging channels through the Service.
“Third-Party Services” refers to services provided by third parties, including but not limited to Meta Platforms, Inc. (WhatsApp), Twilio, and payment processors.

Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

To use certain features of the Service, you must register for an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Use of WhatsApp and Third-Party Messaging Services

LeadAster integrates with WhatsApp Business and other messaging services through official APIs and authorized providers. LeadAster is not affiliated with, endorsed by, or responsible for Meta Platforms, Inc. or WhatsApp.

You acknowledge and agree that:

  • Your use of WhatsApp through the Service is subject to WhatsApp’s applicable terms, policies, and guidelines, including but not limited to WhatsApp Business Terms and WhatsApp Messaging Policies.
  • You are solely responsible for obtaining all necessary consents, permissions, and legal bases to communicate with your End Users, including compliance with applicable data protection, privacy, and anti-spam laws.
  • LeadAster does not initiate messages on your behalf without your configuration or instruction and does not control the content of messages you send.

LeadAster reserves the right to suspend or terminate access to WhatsApp or other integrations if required by a third-party provider or if your use violates applicable laws, policies, or these Terms.

Acceptable Use

You agree not to use the Service to:

  • Send unlawful, misleading, abusive, defamatory, obscene, or infringing content;
  • Engage in spam, unsolicited messaging, or deceptive practices;
  • Violate the rights of End Users or third parties;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service for any purpose prohibited by applicable law or regulation.

Data Protection and Privacy

LeadAster processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.

You acknowledge that, when using the Service to communicate with End Users, you act as the data controller for the content of your communications, and LeadAster acts as a service provider or processor, as applicable under law.

Intellectual Property

Unless otherwise stated, LeadAster and its licensors own all intellectual property rights in the Service, including software, design, text, and logos. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You must not:

  • Copy, modify, or create derivative works of the Service;
  • Reverse engineer or attempt to extract the source code;
  • Resell, sublicense, or make the Service available to third parties except as intended.

Fees, Billing, and Refunds

Certain features of the Service require payment. Pricing, billing cycles, and payment terms are displayed at the time of purchase.

Refund requests must be submitted within 168 hours (7 days) from the initial purchase, subject to the conditions described at checkout and in our refund policy. After this period, fees are non-refundable unless required by law.

Service Availability and Modifications

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Termination

We may suspend or terminate your access to the Service if you violate these Terms, third- party policies, or applicable law. You may stop using the Service at any time.

Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, LeadAster shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business, arising out of or related to your use of the Service.

Indemnification

You agree to indemnify and hold harmless LeadAster from any claims, damages, liabilities, and expenses arising out of your use of the Service, your communications with End Users, or your violation of these Terms or applicable laws.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
